Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the https://www.snitcher.com website (the "Service") operated by Snitcher B.V. ("us", "we", or "our").

The service "Snitcher" is offered over the internet in the form of Software-as-a-Service by the company Snitcher B.V. The use of Snitcher is subject to the terms and conditions outlined below. Using Snitcher constitutes acceptance of these Terms and Conditions.

Deviations from these Terms and Conditions are possible only by means of written confirmation by Snitcher.

1. Use of the Service

1.1 Service Description

Snitcher is a lead generation tool for B2B companies.

Snitcher is not intended for users who are consumers (individuals acting primarily for purposes other than trade, business, or profession), and the applicability of consumer protection legislation is therefore excluded.

1.2 Registration

To use Snitcher, you first need to register. After completing registration, you can directly log into your account and use the Service.

1.3 Account Security

You must secure access to your account using your username and password against third parties. In particular, you must keep the password strictly confidential. Snitcher may assume that all actions undertaken from your account after logging in with your username and password are authorized and supervised by you. This means you are liable for these actions unless and until you have notified Snitcher that someone else knows your password.

1.4 Personal Data Processing

Snitcher processes your personal data. You give your consent for all forms of processing within the scope of the Service. Consult the Privacy Statement of Snitcher for more information.

2. Terms of Use

2.1 Prohibited Activities

It is not permitted to use Snitcher for any purpose that violates Dutch or other applicable laws or regulations. This includes (among others) the storage or transmission of data using the Service that is slanderous, libelous, or racist.

3. Acceptable Use Policy

3.1 You agree not to, and will not permit others to, use the Service to:

  • Upload, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
  • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Engage in any activity that constitutes unauthorized or unsolicited advertising, junk or bulk email (spam), chain letters, or any other form of unauthorized solicitation.
  • Upload, post, or otherwise transmit any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment.
  • Interfere with or disrupt the Service or servers or networks connected to the Service or disobey any requirements, procedures, policies, or regulations of networks connected to the Service.
  • Violate any applicable local, state, national, or international law or any regulations having the force of law.
  • Attempt to gain unauthorized access to the Service or its related systems or networks.
  • Harvest or collect email addresses or other contact information of other users from the Service by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications.
  • Reproduce, duplicate, copy, sell, trade, resell, or exploit for any commercial purposes any portion or use of, or access to, the Service.

3.2 We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this Acceptable Use Policy, including, without limitation, suspending or terminating the account of such violators and reporting them to law enforcement authorities.

3.3 Should Snitcher discover that you violate any of the above, or receive a complaint alleging the same, Snitcher reserves the right to intervene to end the violation.

3.4 If, in the opinion of Snitcher, the continued functioning of the computer systems or network of Snitcher or third parties is actually or under threat of being damaged or jeopardized—for example, through excessive transmission of email or other data, leaks of personal data, or virus activity—Snitcher may take all steps it deems reasonably necessary to end or avert such damage or jeopardy.

3.5 Snitcher is at all times entitled to file a criminal complaint for any offenses committed through or using the Service.

3.6 Snitcher may recoup all damages it suffers as a result of your violation of these Terms of Use. You agree to indemnify and hold harmless Snitcher from any third-party claims arising out of your violation of these Terms of Use.

4. Availability and Maintenance

4.1 Snitcher uses its best efforts to have the Service available at all times but is only willing to make specific guarantees if a separate Service Level Agreement is concluded with Snitcher.

4.2 Snitcher actively maintains its services. Maintenance can take place at any time, even if this may negatively impact the availability of the Service. Maintenance is announced in advance whenever possible.

5. Modifications to the Service

5.1 Snitcher reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.

5.2 We are not liable to you or any third party for any modification, price change, suspension, or discontinuation of the Service.

5.3 Snitcher may from time to time adapt its services. Your feedback and suggestions are welcome, but ultimately Snitcher decides which adaptations to carry out (or not).

6. Intellectual Property

6.1 The Service Snitcher, the accompanying software, as well as all information and images on the website are the intellectual property of Snitcher. None of these items may be copied or used without prior written permission from Snitcher, except to the extent permitted by mandatory law.

6.2 Information you store or process using the Service is and remains your property (or the property of your suppliers or licensors). Snitcher receives a limited license to use this information for the Service, including for future aspects thereof. You can cancel this license by removing the information in question and/or terminating the agreement.

6.3 If you send information to Snitcher, for example, a bug report or suggestion for improvement, you grant Snitcher a perpetual and unlimited license to use this information for the Service. This does not apply to information you expressly mark as confidential.

6.4 Snitcher shall refrain from accessing data you store or transfer using Snitcher unless this is necessary for a good provision of the Service or Snitcher is forced to do so by law or order of a competent authority. In these cases, Snitcher shall use its best efforts to limit access to the information as much as possible.

7. Marketing Permissions

7.1 Unless you expressly notify us otherwise in writing, you grant Snitcher B.V. the permission to use your company name, logo, and trademarks for the purpose of identifying you as a customer on our website, in press releases, case studies, marketing materials, and presentations.

7.2 Any such use will be in accordance with any branding guidelines you provide to us. If at any time you wish to withdraw this consent, please notify us in writing, and we will cease such use within a reasonable timeframe.

8. Third-Party Services and Links

8.1 The Service may contain links to third-party websites or resources and may utilize third-party services. Snitcher is not responsible or liable for the availability, accuracy, content, products, or services of such external sites or resources.

8.2 Your use of third-party websites or services is at your own risk and subject to the terms and conditions of those third parties. We encourage you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

8.3 You acknowledge and agree that Snitcher shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, products, or services available on or through any such websites or resources.

9. Compensation for the Service

9.1 The use of certain functions of Snitcher is subject to fees. The functions in question will inform you of the fees. The fee is either on a one-time or subscription basis.

9.2 Payment is possible by credit card or as explained further on the website.

9.3 Because the Service is started directly at your express request, a payment cannot be refunded under the Distance Selling Act. All sales are final, and Snitcher will not issue refunds, including for prepaid periodical fees.

9.4 If Snitcher does not receive payment from you or your credit card provider, you agree to pay all amounts due upon demand, and Snitcher may suspend your access to the Service until full payment is received or terminate the Service.

9.5 If you choose an automatic recurring payment and later decide to end your subscription, cancelling the payment is your responsibility. Snitcher does not refund automatic payments not cancelled in time.

9.6 Snitcher reserves the right to adjust the fees for the Service on an annual basis. Any such price adjustments will be communicated to you in writing before the new prices take effect. If you do not agree with the adjusted fees, you have the right to terminate the agreement in accordance with Section 13: Term and Termination. Continued use of the Service after the effective date of the price adjustment constitutes your acceptance of the new fees.

10. Limitation of Liability

10.1 Except in the case of intentional misconduct or gross negligence, the liability of Snitcher shall be limited to the amount paid by you in the three months prior to the moment the cause of the damage occurred.

10.2 Snitcher is in no event liable for indirect damages, consequential damages, lost profits, missed savings, or damages through business interruption.

10.3 Damages may only be claimed if reported in writing to Snitcher at most two months after discovery.

10.4 In case of force majeure, Snitcher is never required to compensate damages suffered by you. Force majeure includes, among others, disruptions or unavailability of the internet, telecommunication infrastructure, power interruptions, riots, strikes, company disruptions, interruptions in supply, fires, and floods.

11. Indemnification

You agree to indemnify, defend, and hold harmless Snitcher B.V., its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service;
  • Your violation of these Terms and Conditions;
  • Your violation of any rights of a third party, including intellectual property rights or privacy rights;
  • Any content or data you submit, post, transmit, or make available through the Service.

This indemnification obligation will survive the termination or expiration of these Terms and Conditions and your use of the Service.

12. Fair Use and Free Trial Policy

12.1 Free Trials

Snitcher may offer free trials or limited-time access to certain features of the Service ("Free Trials") to new users for evaluation purposes. Free Trials are limited to one per user and/or organization.

12.2 Prohibition of Multiple Free Trials

You are not permitted to:

  • Register for multiple Free Trials using different accounts, email addresses, or aliases.
  • Circumvent any restrictions or limitations imposed on Free Trials.
  • Share access to a Free Trial with others who are not authorized users within your organization.

12.3 Abuse of Fair Use Policy

Any attempt to abuse the Free Trial offer or violate the fair use provisions is considered a breach of these Terms and Conditions. This includes but is not limited to:

  • Creating multiple accounts to bypass usage limits or avoid payment.
  • Providing false or misleading information during the registration process.
  • Manually removing more than 50% of identifications per month to avoid billing increases. Any removals exceeding this limit will result in charges or adjustments based on the applicable billing tier.
  • Any other actions intended to exploit the Free Trial offer unjustly.

12.4 Monitoring and Enforcement

Snitcher reserves the right to monitor your use of the Free Trial to ensure compliance with this Fair Use and Free Trial Policy. If we determine, in our sole discretion, that you have violated this policy, we may:

  • Suspend or terminate your access to the Free Trial and the Service.
  • Charge you for the continued use of the Service at the applicable rates.
  • Back charge you for the implied costs of servicing the unwarranted accounts.
  • Pursue any other remedies available under law or equity.

12.5 No Waiver

Failure by Snitcher to enforce any part of this Fair Use and Free Trial Policy shall not be deemed a waiver of our right to enforce it at any time.

13. Term and Termination

13.1 This agreement enters into force as soon as you first use the Service and remains in force until terminated.

13.2 If your subscription is automatically renewable, your subscription to the Service will remain in effect and will be renewed automatically at the end of each subscription period unless you terminate your subscription or we terminate it.

13.3 If your subscription is made for a fixed period and/or not automatically renewable, your subscription will automatically terminate at the end of the agreed-upon subscription period.

13.4 Separate written order forms or contracts for the Service may have special adherence terms regarding renewal and defined advance notice periods for termination.

13.5 You may terminate the agreement at any time. Note that no refunds are provided; you can use the Service until the end of the then-current billing period, after which your credit card will not be charged again.

13.6 Snitcher is entitled to terminate the agreement without cause or notice, which may result in the forfeiture and destruction of all information associated with you.

14. Changes to Terms

14.1 Snitcher may change or add to these Terms and Conditions as well as any prices at any time.

14.2 Snitcher shall announce through the Service changes or additions at least thirty (30) days before they take effect.

14.3 If you do not want to accept a change or addition, you can terminate the agreement until the date the changes take effect. Use of Snitcher after the date of effect shall constitute your acceptance of the changed or added-to Terms and Conditions.

15. Electronic Communications

15.1 By using the Service, you consent to receive electronic communications from us. These communications may include notices about your account and information concerning or related to the Service.

15.2 You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.

15.3 All electronic communications and records generated in connection with the Service will be deemed to be "in writing" and to have been received when they are sent to you.

16. Miscellaneous Provisions

16.1 Governing Law and Jurisdiction

Dutch law applies to this agreement.

Except to the extent determined otherwise by mandatory applicable law, all disputes arising in connection with Snitcher shall be brought before the competent Dutch court for the principal place of business of Snitcher.

16.2 Written Communications

For any clause in these Terms and Conditions that demands that a statement must be done "in writing" to be legally valid, a statement by email or communication through the Snitcher Service shall be sufficient, provided that with sufficient certainty, the authenticity of the sender can be established and the integrity of the statement has not been compromised.

16.3 Authenticity of Communications

The version of any communication or information as recorded by Snitcher shall be deemed to be authentic unless you supply proof to the contrary.

16.4 Severability

In case any part of these Terms and Conditions is declared legally invalid, this shall not affect the validity of the whole agreement. The parties shall, in such an event, agree on one or more replacement provisions that approximate the original intent of the invalid provision(s) within the limits of the law.

16.5 Assignment

Snitcher is entitled to transfer its rights and obligations under this agreement to a third party as part of an acquisition of Snitcher or the associated business activities.

You may not assign or transfer your rights or obligations under these Terms and Conditions without our prior written consent.
